Terms of Service

Effective Date: January 1, 2025

Welcome to Scaling with Strategy! These Terms of Service (“Terms”) govern your use of our services, programs, and website. By engaging with Scaling with Strategy or purchasing our services, you agree to these Terms.

1. Acceptance of Terms

By accessing our website, purchasing our services, or participating in our programs (including but not limited to the Profit-Driven Growth Accelerator), you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy.

2. Services Provided

Scaling with Strategy provides strategic growth consulting services, including:

• The Profit-Driven Growth Accelerator Program (16-week implementation program)
• Growth consulting retainer services
• Strategic assessments and audits
• Access to proprietary tools and frameworks (Growth OS Dashboard)
• Training materials and resources
• Implementation support via scheduled calls and Slack

Our services are designed to help established businesses systematize their marketing and growth processes. Results depend on your implementation of our strategies and frameworks.

3. Client Eligibility

Our services are designed for established businesses, typically with:

• $500K-$5M+ in annual revenue
• 3+ years in business
• Existing team members
• Proven products or services

By purchasing our services, you represent that you meet these criteria or have discussed alternative arrangements with us.

4. Payment Terms

Program Investment

• Full-Pay Option: $10,500 (one-time payment)
• Split-Pay Option: $14,000 (four payments of $3,500)
• Additional services priced as quoted

Payment Processing

• Payments are due upon signing the service agreement
• Split payments are processed according to the agreed schedule
• All payments are non-refundable once services commence
• We accept payment via bank transfer, credit card, or other approved methods

Late Payments

• Late payments may result in suspension of services
• A 1.5% monthly fee may apply to overdue balances
• Continued non-payment may result in termination of services

5. Intellectual Property

Our Property

All materials, frameworks, tools, and methodologies provided by Scaling with Strategy remain our intellectual property, including but not limited to:

• Growth Flywheel methodology
• Growth OS Dashboard and tools
• Core Message Canvas
• All training materials and templates

License to Use

Upon payment, you receive a non-exclusive, non-transferable license to use our materials for your internal business purposes only. You may not:

• Resell or redistribute our materials
• Use our frameworks to provide similar services to others
• Remove proprietary notices from our materials
• Create derivative works without permission

Your Property

You retain ownership of all content and materials specific to your business, including your completed frameworks, business information, and custom strategies developed during our engagement.

6. Confidentiality

Both parties agree to maintain the confidentiality of proprietary information shared during our engagement:

• We will not disclose your business information without permission
• You will not disclose our proprietary methodologies to competitors
• This obligation survives termination of services
• Exceptions include information that becomes publicly available through no fault of the receiving party

7. Program Participation & Responsibilities

Your Responsibilities

To achieve optimal results, you agree to:

• Actively participate in scheduled calls and complete assigned work
• Provide accurate information about your business
• Implement agreed-upon strategies and recommendations
• Designate appropriate team members for program participation
• Maintain open communication throughout the engagement

Our Responsibilities

We commit to:

• Provide services as outlined in your service agreement
• Maintain regular communication and support
• Deliver tools and resources as promised
• Provide strategic guidance based on our expertise
• Respect your business goals and values

8. Results Disclaimer

While we provide proven methodologies and expert guidance, we cannot guarantee specific results. Success depends on numerous factors including:

• Your implementation of strategies
• Market conditions
• Your industry and competition
• Team execution
• External factors beyond our control

Any case studies or testimonials represent individual results and are not guarantees of your outcomes.

9. Limitation of Liability

To the maximum extent permitted by law:

• Our liability is limited to the amount paid for services
• We are not liable for indirect, consequential, or special damages
• We are not responsible for lost profits or business opportunities
• This limitation applies regardless of the legal theory of liability

10. Termination

By You

You may terminate services with 30 days written notice. No refunds will be provided for services already rendered or materials already delivered.

By Us

We reserve the right to terminate services if you:

• Fail to make payments as agreed
• Breach these Terms
• Engage in conduct detrimental to our business
• Misrepresent your business or intentions

Effect of Termination

Upon termination:

• Access to our tools and platforms will be revoked
• You must cease using our proprietary materials
• Any outstanding payments become immediately due
• Confidentiality obligations remain in effect

11. Communication & Support

Program Support

• Scheduled 1:1 calls as outlined in your program
• Slack support during business hours (response within 24-48 hours)
• Email communication as needed

Boundaries

We maintain professional boundaries and reserve the right to:

• Limit communication to scheduled channels
• Defer urgent requests to scheduled calls
• Maintain reasonable response times

12. Dispute Resolution

Any disputes arising from these Terms or our services will be:

1. First addressed through good faith negotiation
2. If unresolved, submitted to mediation
3. If still unresolved, submitted to binding arbitration in Ontario, Canada
4. Governed by the laws of Ontario, Canada

13. Modifications to Terms

We may update these Terms periodically. We will notify you of material changes via email. Continued use of our services after changes constitutes acceptance of modified Terms.

14. Entire Agreement

These Terms, along with your signed service agreement and our Privacy Policy, constitute the entire agreement between you and Scaling with Strategy regarding our services.

15. Severability

If any provision of these Terms is found unenforceable, the remaining provisions will continue in full force and effect.
